1. Acceptance of Terms

By accessing or using PitchDuck (the "Service") operated by Tymis Limited, trading as PitchDuck ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and subscribers. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

PitchDuck is an AI-powered presentation deck generation platform designed for finance, banking, and consulting professionals. The Service allows users to generate, refine, export, and manage professional slide decks using AI technology.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

3. Account Registration

To access the full features of PitchDuck, you must create an account. You agree to:

4. Subscriptions and Payments

4.1 Subscription Plans

PitchDuck offers both free and paid subscription plans. Each plan has defined usage limits. Details of current plans and pricing are available on our pricing page.

4.2 Billing and Renewal

Paid subscriptions are billed monthly and automatically renew at the end of each billing period unless cancelled. By subscribing, you authorise us to charge the payment method on file for recurring fees. We will notify you before any price changes take effect.

4.3 Refunds

Monthly plans are non-refundable once the billing period has commenced. If you experience a material service issue within the first 7 days of a new subscription, contact support@pitchduck.com and we will review your request.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Professional responsibility: PitchDuck generates AI-assisted content. AI output may contain errors, omissions, or fabricated data points. All decks must be reviewed and verified by a qualified professional before use in client-facing, regulatory, or investment contexts. PitchDuck does not provide financial, legal, or investment advice.

6. Intellectual Property

6.1 Your Content

You retain full ownership of the content you input into PitchDuck (your prompts, data, and uploads) and the decks generated using your inputs. By using the Service, you grant PitchDuck a limited, non-exclusive licence to process your content solely to provide the Service to you.

6.2 Our Platform

PitchDuck and its underlying technology, branding, design, and software are the exclusive property of Tymis Limited and are protected by intellectual property laws. Nothing in these Terms grants you any rights in our platform beyond what is expressly stated herein.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, irrevocable licence to use that feedback for any purpose without obligation to you.

7. Confidentiality and Data Security

All decks and workspace content are private by default. Data is encrypted at rest and in transit. Your deck content is never used to train AI models. Please review our Privacy Policy for full details.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) AI-generated content will be accurate, complete, or suitable for your specific purpose; or (c) the Service will meet your requirements.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TYMIS LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

PitchDuck shall not be liable for any decisions made or actions taken in reliance on AI-generated content produced by the Service.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the three months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tymis Limited and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your User Content; or (c) your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by nature should survive termination (including intellectual property, indemnification, and limitation of liability) shall continue to apply.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-platform notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
